Terms
These Terms of Service ("Terms") govern your use of CYGNUS Pro (the "Service"), provided by Proprioceptive AI, Inc., a Delaware corporation ("Proprioceptive AI", "we", "us"). By installing, activating, or using CYGNUS Pro, you agree to these Terms. If you don't agree, don't use the Service.
1. The Service
CYGNUS Pro is a desktop application that runs a language model
locally on your machine, monitored by Proprioceptive AI's
proprietary probe + adapter stack. Activation, billing, and
optional cloud-side features are provided via our API server at
api.proprioceptiveai.com.
2. Accounts & activation
You'll provide a valid email address to register. Each subscription is bound to a stable per-machine install hash to prevent token sharing across devices. You may install on multiple machines under one account up to your plan's seat limit.
You're responsible for keeping your activation token confidential. Suspected leak: contact us immediately and we'll rotate it.
3. Payment, trials, and refunds
- Trial: 7 days, no card required. We do not charge automatically at the end of trial; you must explicitly upgrade to a paid plan.
- Subscriptions: billed monthly ($39 USD) or annually ($390 USD) in advance. Stripe processes payment.
- Refunds: full refund within 14 days of any annual purchase, no questions asked. Monthly plans are non-refundable mid-cycle but you can cancel and you won't be charged again.
- Cancellation: via the in-app billing portal. Effective immediately with prorated credit.
- Tax: prices exclude VAT/GST/sales tax where applicable. Stripe will collect tax based on your billing address.
4. Acceptable use
You agree NOT to:
- Reverse-engineer, decompile, or attempt to extract the probe weights, the QDKS router weights, or the canonical-basis matrix beyond what's permitted by applicable law (e.g. interoperability under EU 2009/24/EC)
- Redistribute, sublicense, or resell the Service or any of its components
- Use the Service to generate content that violates law (CSAM, true threats, fraudulent material, etc.)
- Attempt to circumvent the per-machine seat limit or share an activation token across more devices than your plan allows
- Probe, scan, or test the security of
api.proprioceptiveai.comwithout prior written authorization (security researchers: see SECURITY.md for the responsible-disclosure path) - Use the Service to train another model on its outputs (no distillation, no synthetic-data harvesting at scale)
Violation of any of these may result in immediate termination without refund. Egregious violations may also be referred to law enforcement.
5. Your content
Your prompts and the responses the model generates ("Your Content") are processed entirely on your device. We do not see them, do not receive them, do not store them, and do not train on them. You own Your Content; we claim no rights to it.
The audit log on your machine records request IDs, timestamps, and QDKS verdicts (NOT the prompt text or response text). You control that log; it lives in your user-data directory.
6. Intellectual property
Proprioceptive AI owns or licenses all rights to:
- The probe + adapter weights (USPTO Customer Number 223416, earliest priority January 27 2026; Patents 87, 90, 94 asserted)
- The QDKS sparse-attention runtime
- The canonical-basis matrix and the R-Scrambled Projection method (Patent 90)
- The application source, assets, and design system (Geist, Instrument Serif fonts licensed from their respective vendors)
The underlying base language model (Qwen-2.5-3B-Instruct or whichever Model Pack you've installed) ships under its respective upstream license. Pack manifests credit each model's license.

7. Disclaimers
The Service is provided "AS IS" without warranty of any kind. Language models can produce incorrect, biased, or harmful output. The probe + adapter stack monitors the model's internal state and applies steering, but does NOT guarantee any particular safety property. You are responsible for what you do with the model's output.
Specifically, CYGNUS Pro is not designed for, and you may not use it for, decisions in safety-critical, medical, legal, or financial domains without independent human review.
8. Limitation of liability
To the maximum extent permitted by law, Proprioceptive AI's aggregate liability to you for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.
9. Termination
Either party may terminate at any time. We'll cancel your subscription at the end of the current billing period. We may terminate immediately if you violate Section 4 (Acceptable use). Upon termination, your activation token is revoked; your local audit log and any locally-cached data remain on your machine (we have no remote-wipe capability).
10. Privacy
Our handling of your data is governed by the Privacy Policy, which is incorporated by reference into these Terms.
11. Changes to these Terms
We may update these Terms periodically. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after a material change constitutes acceptance.
12. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Delaware. The parties consent to personal jurisdiction in those courts.
If you are a consumer in the EU/UK/EEA, mandatory consumer protection laws of your country of residence apply notwithstanding the choice-of-law clause above.
